Pasar modal merupakan salah satu instrumen strategis dalam pembangunan ekonomi nasional yang berfungsi sebagai sarana penghimpunan dana bagi dunia usaha sekaligus wahana investasi bagi masyarakat. Keberhasilan penyelenggaraan pasar modal sangat bergantung pada tingkat kepercayaan investor terhadap integritas dan transparansi informasi yang disampaikan oleh emiten maupun perusahaan publik. Dalam praktiknya, masih ditemukan berbagai pelanggaran prinsip keterbukaan informasi, seperti penyampaian informasi yang terlambat, tidak lengkap, menyesatkan, maupun penyembunyian fakta material yang berpotensi merugikan investor. Kondisi tersebut menunjukkan bahwa implementasi prinsip keterbukaan informasi belum sepenuhnya mampu memberikan perlindungan hukum yang optimal bagi investor. Penelitian ini bertujuan untuk menganalisis implementasi prinsip keterbukaan informasi dalam sistem hukum pasar modal Indonesia serta mengkaji efektivitasnya sebagai instrumen perlindungan hukum bagi investor. Penelitian menggunakan metode penelitian hukum normatif dengan pendekatan perundang-undangan (statute approach), pendekatan konseptual (conceptual approach), dan pendekatan kasus (case approach). Bahan hukum diperoleh melalui studi kepustakaan terhadap peraturan perundang-undangan, literatur hukum, putusan, serta jurnal ilmiah yang relevan. Analisis dilakukan secara kualitatif menggunakan metode deskriptif-analitis dan argumentatif. Hasil penelitian menunjukkan bahwa Indonesia telah memiliki pengaturan yang relatif komprehensif mengenai kewajiban keterbukaan informasi melalui Undang-Undang Nomor 8 Tahun 1995 tentang Pasar Modal, Undang-Undang Nomor 4 Tahun 2023 tentang Pengembangan dan Penguatan Sektor Keuangan, serta berbagai Peraturan Otoritas Jasa Keuangan. Meskipun demikian, implementasinya masih menghadapi berbagai kendala berupa lemahnya kepatuhan emiten, keterbatasan pengawasan, serta belum optimalnya penegakan hukum. Penelitian ini menawarkan penguatan mekanisme pengawasan berbasis teknologi, peningkatan sanksi administratif yang lebih efektif, serta penguatan perlindungan investor melalui sistem keterbukaan informasi yang lebih responsif sebagai bentuk pembaruan hukum pasar modal Indonesia.

Abstract

The capital market is one of the strategic instruments in national economic development which functions as a means of raising funds for the business world as well as a vehicle for investment for the community. The success of the implementation of the capital market is highly dependent on the level of investor confidence in the integrity and transparency of information submitted by issuers and public companies. In practice, various violations of the principle of information disclosure are still found, such as late, incomplete, misleading information delivery, and concealment of material facts that have the potential to harm investors. This condition shows that the implementation of the principle of information disclosure has not been fully able to provide optimal legal protection for investors. This study aims to analyze the implementation of the principle of information disclosure in the Indonesian capital market legal system and examine its effectiveness as a legal protection instrument for investors. The research uses normative legal research methods with a statute approach, a conceptual approach, and a case approach. Legal materials are obtained through literature studies of laws and regulations, legal literature, rulings, and relevant scientific journals. The analysis was carried out qualitatively using descriptive-analytical and argumentative methods. The results of the study show that Indonesia already has relatively comprehensive regulations regarding information disclosure obligations through Law Number 8 of 1995 concerning the Capital Market, Law Number 4 of 2023 concerning the Development and Strengthening of the Financial Sector, and various Financial Services Authority Regulations. However, its implementation still faces various obstacles in the form of weak compliance of issuers, limited supervision, and suboptimal law enforcement. This research offers the strengthening of technology-based supervisory mechanisms, the increase in more effective administrative sanctions, and the strengthening of investor protection through a more responsive information disclosure system as a form of reform of Indonesian capital market laws.
